Terms of Service

These Terms of Service (“Terms”) govern your access to and use of OVERCLIP (“OVERCLIP”, “we”, “us” or “our”) and the website, marketplace, and related services (the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old (or the age of legal majority in your jurisdiction) and able to form a binding contract. You are responsible for ensuring your use of the Service and of any connected social platform complies with all applicable laws and third-party terms.
2. The Service
OVERCLIP is a marketplace that connects brands and advertisers with creators (“Clippers”) who publish short-form clips. We provide the platform only; we do not guarantee the availability of any campaign, any number of views, or any level of earnings. Participation does not create any employment, partnership, agency, or joint-venture relationship.
3. Accounts and verification
You agree to provide accurate information, keep your credentials secure, and connect only social accounts that you own and control. We may require verification of account ownership and may refuse, limit, or revoke verification at our sole discretion. Each social account may be verified to and used by only one OVERCLIP user.
4. Creator responsibilities
- Publish only content you are authorized to post, and only from the verified account you used to join a campaign.
- Follow each campaign brief and the rules of the relevant social platform.
- Submit only genuine clips and authentic engagement.
5. Prohibited conduct
You may not use bots, automation, purchased or incentivized views, fake engagement, misrepresented or borrowed accounts, multiple accounts to circumvent limits, or any deceptive, fraudulent, unlawful, or abusive activity. We may investigate suspected violations and take any action we consider appropriate.
6. Content and license
You retain ownership of the content you create. You grant OVERCLIP a non-exclusive, worldwide, royalty-free license to access, display, reference, and use the links, metrics, and non-confidential campaign-related materials you submit, for the purposes of operating, promoting, and improving the Service.
7. Earnings, review, and payouts
- Payouts are based on reviewed, verified views and the applicable campaign rate, and are subject to review and approval at our sole discretion.
- We may accept, reject, delay, adjust, withhold, or reverse any payout, and remove any clip, where we identify fraud, policy violations, inaccurate metrics, chargebacks, or any other reason we consider appropriate.
- Payouts may be subject to minimum thresholds and verified payout details, and are made through the methods we designate.
- You are solely responsible for any taxes, fees, or charges arising from your earnings.
- All calculations of views, eligibility, and payout amounts made by OVERCLIP are final and binding.
8. Advertisers and brands
Advertisers are responsible for the accuracy and lawfulness of their campaigns and materials and must hold all necessary rights. Campaign parameters, budgets, and rules are set together with OVERCLIP, and OVERCLIP retains final approval over campaigns published on the Service.
9. Changes to the Service and these Terms
We reserve the right, at our sole discretion and at any time, to modify, suspend, or discontinue all or part of the Service, and to add, change, or remove features, campaigns, rates, and rules, with or without notice. We may also update these Terms at any time; changes take effect when posted, and your continued use of the Service constitutes acceptance of the updated Terms.
10. Suspension and termination
We may suspend, restrict, or terminate your account or access to the Service at any time, with or without notice, for any reason, including suspected violation of these Terms. Upon termination, unpaid amounts associated with violations or fraud may be forfeited.
11. Third-party platforms
OVERCLIP is not affiliated with, endorsed by, or sponsored by TikTok, Instagram, YouTube, Google, or any other platform. Your use of those platforms is governed by their own terms, and we are not responsible for their actions, availability, or data.
12. Disclaimers
The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any earnings will result from its use.
13. Limitation of liability
To the maximum extent permitted by law, OVERCLIP and its operators and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total aggregate liability for any claim relating to the Service will not exceed the total amounts actually paid to you by OVERCLIP in the three (3) months preceding the event giving rise to the claim.
14. Indemnification
You agree to indemnify and hold harmless OVERCLIP and its operators and affiliates from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your content, your use of the Service, or your violation of these Terms or any law or third-party rights.
15. Final decisions
OVERCLIP retains sole and final discretion over the interpretation and application of these Terms, eligibility, campaign approval, metric verification, payout determinations, and the resolution of any dispute arising on the Service. Our decisions on such matters are final.
16. Governing law and disputes
These Terms are governed by the laws applicable to the jurisdiction in which OVERCLIP’s operating entity is established, without regard to conflict-of-law rules. Any dispute will be subject to the exclusive jurisdiction of the competent courts of that jurisdiction, except where mandatory consumer-protection law provides otherwise.
